Welcome to OptiBeacon ("the Platform", "the Service"). These Terms and Conditions govern your use of our SaaS platform. By registering for or using the Service, you ("User", "Customer") agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Account & Eligibility

• You must be at least 18 years old or a legally recognized business entity to use the Service.
• You are responsible for providing accurate registration information and maintaining the security of your account credentials.
• You are responsible for all activities that occur under your account.

2. Acceptable Use Policy

You agree not to use the Service to:

• Engage in any illegal, fraudulent, or harmful activities.
• Transmit any viruses, malware, or other malicious code.
• Violate the privacy or intellectual property rights of others.
• Attempt to gain unauthorized access to our systems or disrupt the integrity of the Service.

3. Data Ownership and Privacy

• You retain all ownership rights to the data you upload to the Service (e.g., patient records, inventory data).
• You grant us a limited license to access, store, and process your data solely for the purpose of providing and improving the Service.
• Our data handling practices are governed by our Privacy Policy.

4. Subscriptions, Fees & Payments

• Access to the Service requires an active, paid subscription according to the plan you select.
• Fees are billed in advance on a monthly or annual basis and are non-refundable, except as required by law.
• We reserve the right to change our pricing with 30 days' notice.
• Failure to pay may result in suspension or termination of your account.

5. Service Availability and Disclaimer

• The Service is provided on an "as is" and "as available" basis. We strive for high uptime but do not guarantee that the Service will be uninterrupted or error-free.
• We are not responsible for any data loss, corruption, or business interruption. You are strongly advised to maintain independent backups of your critical data.

6. Limitation of Liability

• To the maximum extent permitted by law, OptiBeacon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.
• Our total liability in any matter arising out of or related to these terms is limited to the amount you paid for the Service in the 12 months preceding the event giving rise to the liability.

7. Termination

• You may cancel your subscription at any time.
• We reserve the right to suspend or terminate your account immediately if you breach these Terms.
• Upon termination, your right to access the Service will cease. We may permanently delete your data after a reasonable grace period.

8. Governing Law

These Terms are governed by the laws of India. Any disputes shall be resolved in the courts of New Delhi, India.
